SynDesk Terms and Conditions

1. Introduction

Welcome to SynDesk, an AI-powered education platform operated by Stralys Ltd. ("we", "our", "us"). By accessing or using SynDesk, you agree to comply with these Terms and Conditions ("Terms"). If you do not agree, please do not use the platform.

These Terms govern your use of our web application, mobile applications, and associated services ("Services").

2. Definitions

  • User: Any individual who uses SynDesk, including students, teachers, and administrators.
  • Lecturer/Tutor: Users providing educational content or using AI study tools.
  • Organization: Institutions such as schools, colleges, or training centers registered on SynDesk.
  • AI Credits: Units used to access AI-powered features, including summary generation, quizzes, and PPTs.
  • Subscription: Paid plan providing access to storage, AI features, or organizational tools.
  • Content: Any material, notes, quizzes, PPTs, or other resources uploaded or generated on SynDesk.

3. Acceptance of Terms

By creating an account or accessing SynDesk, you:

  1. Accept these Terms in full.
  2. Confirm you are of legal age to use the Services or have parental/guardian consent.
  3. Agree to comply with applicable Tanzanian laws regarding digital content, payments, and data privacy.

4. User Accounts & Access

  1. Users must provide accurate and complete information during registration.
  2. Accounts are non-transferable; sharing login credentials is prohibited.
  3. Organizations can manage their members and control access to courses, AI features, and storage.
  4. Students and teachers may belong to multiple organizations. Tenant switching must reflect active organization context.
  5. We reserve the right to suspend or terminate accounts violating Terms or exhibiting fraudulent activity.

5. Services & Subscriptions

5.1 Free Tier

  • Provides limited storage and AI features.
  • Users may upgrade at any time for additional features or credits.

5.2 Paid Plans

  • Lecturers, organizations, and students can subscribe to premium plans.
  • Subscription fees are billed via our payment partner using M-Pesa, Tigo Pesa, or Airtel Money.
  • Subscription renewal is monthly or annual, as selected by the user.

5.3 AI Credits

  • AI features are accessible via credits.
  • Free users receive a limited number of credits for experimentation.
  • Paid users can top-up credits; unused credits do not carry over if expired.

5.4 Pricing & Payment

  • All payments are in Tanzanian Shillings (TZS).
  • SynDesk reserves the right to change pricing; advance notice will be provided.
  • Payment disputes may result in temporary suspension of features until resolved.

6. User Content & Responsibilities

  1. Users retain ownership of the content they create.
  2. Users grant SynDesk a license to store, process, and display content as necessary for platform functionality.
  3. Users must not upload content that is:
  • Illegal or offensive
  • Copyright-infringing
  • Harmful, discriminatory, or unsafe

AI-generated content is provided for educational assistance only. Users must verify accuracy before relying on it.

7. Intellectual Property

  1. Platform IP: SynDesk, Stralys Ltd., and all trademarks, logos, software, and proprietary technology remain our exclusive property.
  2. Generated Content IP: AI-generated outputs remain the user's content, but SynDesk may store and display outputs to provide services.
  3. Unauthorized copying or redistribution of platform software is prohibited.

8. Multi-Tenant & Organizational Control

  • Organizations may assign roles and manage access to their courses, AI features, and storage.
  • Solo lecturers are treated as single-tenant organizations.
  • Users must comply with organization rules; SynDesk may enforce restrictions at the request of organizations.

9. Security & Privacy

  1. Accounts are secured via our identity provider and optionally Google sign-in.
  2. TLS encryption is enforced for all data in transit; AES-256 encryption is used for stored data.
  3. Users are responsible for safeguarding their credentials.
  4. SynDesk will notify users in case of security breaches or unauthorized access.
  5. We comply with applicable Tanzanian privacy laws; personal data is handled in accordance with our Privacy Policy.

10. Liability Disclaimer

  1. SynDesk provides AI-generated content as-is; we do not guarantee accuracy.
  2. Users are responsible for educational outcomes and compliance with local academic policies.
  3. We are not liable for:
  • Data loss due to user error or non-payment
  • Service downtime due to infrastructure or network issues
  • Third-party services integrated with SynDesk (Flutterwave, DigitalOcean, Gemini API)

11. Termination & Suspension

  • SynDesk may suspend or terminate accounts for:
  • Non-payment or expired subscription
  • Violation of Terms
  • Illegal activity or misuse of services

Users may cancel subscriptions at any time; refunds are subject to our billing policy.

12. Payment Disputes & Refunds

  1. All payments are processed through our payment partner; disputes must follow their procedure.
  2. SynDesk reserves the right to revoke premium access, AI credits, or storage if payment is reversed or fraudulent.
  3. Chargebacks will be handled by adjusting user access and notifying affected parties.

13. Amendments

  • SynDesk may modify Terms at any time.
  • Users will be notified of major changes via email or platform notifications.
  • Continued use of the platform constitutes acceptance of the revised Terms.

14. Governing Law

  • These Terms are governed by the laws of the United Republic of Tanzania.
  • Any disputes arising will be resolved under Tanzanian jurisdiction.
